• provide timely content, access, and approvals needed to complete work

• maintain active accounts with required email platforms (e.g., Mailchimp, Klaviyo)

HeyMail is not responsible for delays caused by missing information or access from the client.

5. Data Protection & GDPR Compliance

HeyMail complies with GDPR and Irish data protection regulations.

We act as:

• Data Controller for our own business-related data

• Data Processor for subscriber lists and campaign data you provide

Clients remain responsible for ensuring their subscriber data is collected legally, including:

• consent for marketing

• proper opt-in mechanisms

• valid unsubscribe handling

A Data Processing Agreement (DPA) may be provided on request.

6. Payment Terms

Unless otherwise agreed in writing:

• Payments are due upfront or within the invoicing terms stated

• Monthly retainers are billed in advance

• Project fees are billed according to the agreed schedule

• Late payments may result in paused work until resolved

HeyMail reserves the right to charge interest on overdue invoices in accordance with Irish late payment legislation.

7. Cancellations & Termination

Monthly Retainers

You may cancel with 30 days’ written notice.

Project Work

Deposits are non-refundable once work has begun.
If you cancel partway through a project, you are responsible for paying for:

• completed work

• work already in progress

• any external costs incurred

8. Intellectual Property

Client Materials

All content, branding, and subscriber data you provide remains your property.

HeyMail Materials

Drafts, templates, strategies, and documents created by HeyMail remain our intellectual property until full payment is received.

Once fully paid:

• final email designs

• final copy

• graphics created specifically for your business

become your property for ongoing use.

We may retain non-identifiable versions for portfolio or internal training unless you request otherwise.

9. Liability

To the fullest extent permitted by Irish law:

• HeyMail is not liable for indirect, incidental, or consequential damages

• We are not responsible for losses arising from incorrect subscriber data, platform issues, or client misuse

• We cannot guarantee specific financial results, as performance varies by industry and audience

Our liability is limited to the amount paid for services in the 3 months prior to the claim.

10. Third-Party Tools & Integrations

We may use third-party services such as:

• Mailchimp

• Klaviyo

• ActiveCampaign

• Google Analytics

• Shopify

• Web hosting providers

We are not responsible for outages, errors, or policy changes made by third-party providers.

Clients must follow the terms and conditions of those platforms.

11. Changes to Services or Pricing

HeyMail reserves the right to:

• modify services

• update pricing

• change these terms

We will notify clients of significant changes where appropriate

12. Governing Law

These Terms & Conditions are governed by the laws of Ireland.
Any disputes shall be resolved in the courts of Ireland.
